TERMS & CONDITIONS

Last updated: July 14, 2026. These terms govern the deployment of the Autodesk Revit governance add-in and cloud org telemetry management tools.

SEC_01

SYSTEM LICENSE TERMS

Subject to compliance with these Terms, EXO-0 grants you and your organization a non-exclusive, non-transferable, revocable license to access our platform interface and run the compiled Autodesk Revit Desktop Add-in installer on authorized corporate workstations.

You agree that you will not, nor allow any member of your organization to:

  • Decompile, disassemble, reverse engineer, or attempt to decode the source binaries of the add-in.
  • Bypass, modify, or override the license leasing checks and concurrent seat validation controls.
  • Incorporate the proprietary auditing engines of EXO-0 into competing commercial software systems.
  • Conduct automated API queries or system stress tests against our cloud gateways without written permission.

FLOATING SEAT USAGE & COMPLIANCE

Under our B2B commercial licensing models:

  • Floating Seats:Active users are allocated dynamically from your organization's pool. When a team member opens a model in Revit and initializes the add-in dashboard, one seat is leased. Closing the Revit session or logging out returns the seat to the corporate pool.
  • Quota Boundaries: If all allocated floating seats are currently leased by active workstation sessions, subsequent team members will be locked from using governance modules until an active lease expires or is manually terminated via the Org Centre.
  • Seat Abuse: Share credentials or concurrent login hacking to bypass floating allocations violates the agreement and may trigger account suspension.

INTELLECTUAL PROPERTY & OWNERSHIP

We assert and maintain clear boundaries regarding intellectual property:

  • Your Files & Intellectual Property: You retain complete and exclusive ownership of all Revit families, models, catalog databases, sheets, and custom parameter schedules checked or managed via our systems. We claim no ownership, trademark rights, or property interest in your design assets.
  • Platform Intellectual Property: EXO-0, including all associated logos, branding, UI designs, codebases, custom installer binaries, database architectures, and auditing algorithms, represents the exclusive intellectual property of EXO-0 and its developers.

BILLING, INVOICING, & SUBSCRIPTIONS

Subscriptions are processed dynamically via the Stripe API. Annual and monthly plans renew automatically unless terminated before the billing date:

  • Enterprise Invoice Terms: Large scale plans using net-30 terms must settle payments within 30 days of the invoice date.
  • Late Payments: Accounts with invoices remaining unpaid 15 calendar days past their due date will be locked, restricting Revit add-in active licenses.
  • Taxes: Subscriptions do not include localized sales tax or VAT, which will be computed dynamically and detailed on invoice receipts.

SLA & SYSTEM WARRANTY DISCLAIMERS

We strive to keep the platform highly stable for B2B teams:

  • Uptime Targets: We target a 99.9% uptime metric for our central dashboard database APIs. Scheduled updates will be conducted outside peak enterprise hours.
  • Desktop Client Disclaimer: Since Autodesk Revit undergoes local network configurations and custom API updates, we do not guarantee compatibility with custom third-party add-ins or unsupported legacy Revit versions.
  • AS IS Provision: The software tool is provided "AS IS". We disclaim any implied warranty of merchantability or fitness for specific engineering tasks.
SEC_06

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable commercial law, EXO-0 and its developers shall not be held liable for:

  • Structural, architectural, or planning errors present in models audited by the system.
  • Workstation system slowdowns, network latency, or localized Autodesk Revit crash states.
  • Project delivery delays or contractual penalty fees incurred from missed deadlines.
  • Indirect or incidental damages, including loss of profits, architectural intellectual data leaks, or software disruptions.
SEC_07

TERMINATION POLICIES

You may terminate these Terms at any time by canceling active subscriptions in your Billing Portal:

  • Active floating licenses will remain operational until the final day of the current prepaid billing term.
  • We reserve the right to suspend accounts immediately in the event of documented license cracking, security intrusion attempts, or critical non-payment states.
  • Remaining obligations regarding intellectual property ownership, liabilities, and system disclaimers survive account termination.
